1. Acceptance of Terms

By accessing or using ReplyNest (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you (“User” or “you”) and ReplyNest (“we,” “us,” or “our”).

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify you of material changes by email or through the Service.

2. Description of Service

ReplyNest is a software-as-a-service platform that uses artificial intelligence to generate and post replies to guest reviews on Airbnb listings. The Service monitors your connected Airbnb listings, detects new guest reviews, and automatically crafts and publishes personalized responses on your behalf.

ReplyNest is an independent service and is not affiliated with, endorsed by, or sponsored by Airbnb, Inc. Use of this Service is subject to Airbnb’s own terms of service, and you remain solely responsible for compliance with Airbnb’s policies.

3. User Responsibilities

By using the Service, you represent and warrant that:

  • You own, manage, or have explicit legal authority to act on behalf of the Airbnb listings you connect to ReplyNest.
  • You will not connect listings that you do not have authorization to manage.
  • You will not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • You will not attempt to reverse-engineer, decompile, or otherwise extract source code from the Service.
  • You are responsible for reviewing AI-generated replies before they are posted, if you choose to enable a review/approval workflow. Automatic posting is provided as a convenience, and you accept responsibility for content published through your account.
  • You will keep your account credentials secure and notify us immediately of any unauthorized use.

4. Subscription & Billing

4.1 Free Trial

New accounts receive a 7-day free trial. No credit card is required to start the trial. At the end of the trial period, continued use of the Service requires a paid subscription.

4.2 Subscription Fees

ReplyNest Pro is offered at $19.00 USD per month. Subscription fees are billed monthly in advance, beginning on the date you subscribe. All fees are non-refundable except as expressly stated in Section 4.4 below.

4.3 Cancellation

You may cancel your subscription at any time by emailing support@replynest.com or through your account settings. Cancellation takes effect at the end of the current billing period. Your access to the Service will continue until the end of the paid period.

4.4 Refund Policy

All subscription fees are non-refundable. No refunds are issued for partial months. If you cancel mid-cycle, your subscription remains active until the end of the current billing period and no pro-rated refund will be issued. We may, at our sole discretion, provide credits or exceptions in cases of significant Service outages or billing errors.

4.5 Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days’ notice before any price increase takes effect. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

5. Intellectual Property

ReplyNest Platform: All software, algorithms, designs, trademarks, trade names, and other intellectual property embodied in the Service are owned by ReplyNest or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.

Your Content:You retain all ownership rights to your listing data, review content, and any other information you provide to the Service (“User Content”). By using the Service, you grant ReplyNest a limited, non-exclusive, royalty-free license to access, store, and process your User Content solely to provide and improve the Service.

AI-Generated Replies: You own the AI-generated reply content produced by the Service in connection with your listings. ReplyNest may use anonymized, aggregated interaction data to improve its AI models.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated content may not always be accurate, appropriate, or perfectly matched to your brand voice. You are solely responsible for reviewing and approving content published through your account. ReplyNest makes no guarantees regarding the impact of automated replies on your Airbnb ranking, Superhost status, or booking rate.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPLYNEST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR SERVICE INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL REPLYNEST’S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO REPLYNEST IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Before initiating any formal proceeding, you agree to first contact us at support@replynest.com and attempt to resolve the dispute informally for at least 30 days.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.
